Request For Expression Of Interest – WLFN Corporate Entities

Please be advised that WLFN is currently seeking expressions of interest from WLFN Members and others would be interested in serving as a director of WLFN Corporations.

At present, there is a need for a representative on the board of two WLFN Corporations:

  1. Sugar Cane Development Corporation (“SCDC”)
  2. Coyote Rock GP Ltd. (which is the General Partner of the Coyote Rock Limited Partnership)

WHAT DOES A BOARD OF DIRECTORS DO?

As a whole, a board of directors is a group of people responsible for managing a company’s operations. The board of directors represents and protects the interests of shareholders by making decisions that improve the company’s profits. They also ensure the company is abiding by all relevant laws and regulations.


WHAT ARE THE BASIC LEGAL REQUIREMENTS TO SERVE AS A DIRECTOR?

  • Minimum Age: Must be at least 18 years old.
  • Mental Capacity: Must be capable of managing their own affairs.
  • Bankruptcy Status: Must not be an undischarged bankrupt.
  • Criminal Record: Must not have been convicted of an offence related to the promotion, formation, or management of a corporation or unincorporated business, or an offence involving fraud.
  • Consent: Must consent to act as a director.

ADDITIONAL KNOWLEDGE AND EXPERIENCE REQUIRED:

In addition to the base criteria above, candidates should have sounds knowledge and skills in the following areas:

FINANCIAL MANAGEMENT:

  • Basic Financial Literacy: Must have a fundamental understanding of financial statements, including balance sheets, income statements, and cash flow statements.
  • Budgeting Skills: Ability to prepare and oversee budgets, ensuring the corporation operates within its financial means.
  • Financial Planning: Knowledge of financial planning and forecasting to help set long-term financial goals and strategies for the corporation.
  • Risk Management: Understanding of financial risks and the ability to implement measures to manage and mitigate these risks.
  • Compliance: Familiarity with financial regulations and reporting requirements to ensure the corporation’s financial practices are legal and ethical.
  • Investment Acumen: Ability to assess and make informed decisions regarding investments and capital expenditures.
  • Audit and Control: Knowledge of auditing processes and internal financial controls to maintain the integrity of the corporation’s financial information.

LEGAL:

  • Corporate Law: Understanding of the British Columbia Business Corporations Act and other relevant corporate laws that govern the formation, operation, and dissolution of corporations.
  • Regulatory Compliance: Knowledge of regulatory requirements and the ability to ensure the corporation complies with all applicable laws and regulations.
  • Contract Law: Familiarity with the principles of contract law, including the ability to review and comprehend the terms and implications of contracts and agreements.
  • Employment Law: Basic understanding of employment laws and regulations to ensure the corporation’s employment practices are legal and fair.
  • Litigation Risk: Ability to identify potential legal risks and implement strategies to mitigate litigation and other legal challenges.
  • Ethics and Governance: Knowledge of ethical guidelines and governance best practices to promote transparency and accountability within the corporation.

COMPANY-SPECIFIC REQUIREMENTS:

SUGAR CANE DEVELOPMENT CORPORATION (“SCDC”)

At present, SCDC has two main business streams:

  • The operation of a professional archaeological services firm (“Sugar Cane Archaeology”); and
  • Partnership revenues that arise out of natural resource development-related activities in the mining, forestry and utilities sectors.

Board Members of SCDC should have the following skillsets:

  • Familiarity with local, provincial, and federal archaeology regulations, including the Heritage Conservation Act.
  • Ability to manage complex relationships with other orders of government (provincial, federal and municipal).
  • Capacity to address and resolve unexpected challenges that arise during fieldwork or project execution.
  • A strong understanding of the intersection between WLFN’s business operations and political negotiations.
  • Strong knowledge of the mining, forestry and utilities sectors.
  • Knowledge and understanding of impact benefit agreements, and the principles of aboriginal consultation and accommodation.

At present, Board positions for SCDC are not compensated (i.e. there is no honorarium of other compensation for directors).

COYOTE ROCK GP LTD. (“CRGP”)

CRGP is the legal entity responsible for administering, developing and marketing the real estate development on WLFN lands knows as “Coyote Rock”.  Coyote Rock consists of a multi-phase residential subdivision and more than ten acres of commercial development fronting Quigli Drive.  Future phases of development are also in the planning process currently.

Board Members of CRGP should have the following skillsets:

  • Knowledge of the real estate development industry.
  • Knowledge of the First Nations Land Management Act, the WLFN Land Code and leasing practices on First Nation Lands.
  • Experience with real estate conveyancing or other real estate related transactions
  • Experience in marketing, branding and promotion.

At present, Board positions for SCDC are not compensated. (i.e. there is no honorarium of other compensation for directors).


WHAT ARE THE BENEFITS OF SERVING AS A DIRECTOR OF A WLFN CORPORATION?

Directors play a key role in fostering the success of WLFN corporations and ensuring that these corporations provide revenue back to the community, as well as opportunities for employment and capacity development. It is an important service to the WLFN Membership. Serving on the board of a WLFN corporation also provides an opportunity to acquire significant business experience and knowledge.  These are valuable skills which are transmissible to an individual’s employment or other business activities.


HOW DO SUBMIT MY EXPRESSION OF INTEREST TO SERVE ON THE BOARD OF EITHER SUGAR CANE DEVELOPMENT CORPORATION OR COYOTE ROCK GP LTD.?

Please submit a letter outlining your relevant experience which explains why you would like to serve as a director of Sugar Cane Development Corporation or Coyote Rock GP Ltd., along with at least two personal or business references. While at present the only openings are with Sugar Cane Development Corporation and Coyote Rock GP Ltd., there may in the future be opportunities to serve on the board of other WLFN companies.  To find out more about these companies, please visit our business listing, right here (click link).

WLFN will also be organizing a training session for WLFN Members interested in acquiring additional knowledge and skills that would assist them in serving as a corporate director.  A further notice with respect to that training will be sent out once the dates and times are determined.
